Welcome to ugcai.studio! These Terms of Service ("Terms") govern your access to and use of the ugcai.studio website and services (collectively, the "Service"), operated by ugcai.studio ("we", "us", or "our"). Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Service Description

ugcai.studio provides users with tools to generate artificial intelligence ("AI") based content, including avatars, videos, and advertising hooks, based on user-provided text prompts.

2. Account Registration

To access certain features of the Service, you must register for an account. Account registration and authentication are handled through our third-party provider, Clerk. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payment

  • Fees: Access to certain features of the Service requires payment of subscription fees. Current subscription plans and fees are listed on our website. We reserve the right to change our subscription plans or fees at any time, with notice provided to existing subscribers.
  • Billing: Subscription fees are billed on a recurring basis (e.g., monthly) in advance. Payments are processed through our third-party payment processor, Stripe. By subscribing, you agree to Stripe's terms and conditions (https://stripe.com/legal/consumer).
  • Cancellation: You may cancel your subscription at any time through your account dashboard or the Stripe customer portal. Cancellation will take effect at the end of your current billing cycle. You will retain access to paid features until the end of the billing cycle.
  • No Refunds: Subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods or unused features/credits.

4. Content Generation and Ownership

  • User Input: You are solely responsible for the text prompts and any other input you provide to the Service ("User Input"). You represent and warrant that you have all necessary rights to provide the User Input and that it does not violate any laws or third-party rights.
  • Generated Content Ownership: Subject to your compliance with these Terms, you own the rights to the specific avatars, videos, and other content generated by the Service based directly on your User Input ("Generated Content").

5. Content Usage

  • Your License to Use Generated Content: You may use your Generated Content for any lawful purpose, including personal and commercial use, subject to these Terms and applicable laws.
  • Our License to Use Generated Content: You grant ugcai.studio a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, display, and prepare derivative works of your Generated Content solely for the purposes of operating, providing, and improving the Service (e.g., displaying content in your gallery, training our underlying models). We will not use your specific Generated Content for direct marketing purposes without your explicit permission, although we may highlight anonymous or aggregated examples of successful content for promotional purposes.

6. Acceptable Use Policy

You agree not to use the Service to generate or disseminate content, or use Generated Content in a manner that:

  • Violates any applicable local, state, national, or international law or regulation.
  • Infringes upon or violates the intellectual property rights, privacy rights, publicity rights, or other rights of any third party.
  • Is fraudulent, false, misleading, or deceptive.
  • Is defamatory, obscene, pornographic, vulgar, or offensive.
  • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
  • Is violent or threatening or promotes violence or actions that are threatening to any person or entity.
  • Promotes illegal or harmful activities or substances.

While our AI may be capable of generating various outputs, you remain solely responsible for ensuring your use of the Service and the Generated Content complies with this Acceptable Use Policy and all applicable laws.

7. Intellectual Property Rights (Service)

Excluding your User Input and your Generated Content, the Service itself, including its source code, design, features, functionality, text, graphics, logos, and underlying AI models, are and will remain the exclusive property of ugcai.studio and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ugcai.studio.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, ugcai.studio EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE SERVICE OR GENERATED CONTENT WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES OR MAY NOT REFLECT REAL EVENTS OR FACTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ugcai.studio, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ugcai.studio ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL ugcai.studio, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO ugcai.studio HEREUNDER IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to defend, indemnify, and hold harmless ugcai.studio and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service, including your User Input and Generated Content.

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may do so by cancelling your subscription and contacting us at hi@paytience.me to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
